Terms & Conditions

These are the terms that govern work between you (the client) and Mott Design. The goal is a clear working relationship, not a wall of fine print.

About these terms

These terms apply to all web design, web development, and related services provided by Mott Design LLC. By engaging Mott Design for a project, you agree to these terms. Specific project details — scope, deliverables, timeline, and fees — are set out in a separate proposal or statement of work, which takes precedence over these general terms where they conflict.


Services

Mott Design provides web design, front-end development, analytics implementation, and related consulting services on a project or monthly retainer basis. The scope of each engagement is defined at the outset in writing. Work outside the agreed scope will be quoted separately before proceeding.

Mott Design reserves the right to decline or discontinue a project if a client relationship becomes untenable or if the work would conflict with professional or ethical standards.


Payment

Invoices are due within 14 days of the invoice date (net-14) unless otherwise agreed in writing. Project work typically requires a deposit before work begins — the amount and schedule are specified in the project proposal.

Late payments accrue interest at 1.5% per month (or the maximum allowed by California law, whichever is lower) starting on the 15th day after the invoice date. Mott Design may pause or withhold delivery of work until outstanding invoices are settled.

All fees are quoted in US dollars. Fees do not include third-party costs — such as hosting, fonts, stock photography, plugins, or software licenses — unless explicitly stated. Those costs are the client's responsibility.


Client responsibilities

A smooth project depends on timely input from the client. You agree to:

  • Provide all required content — copy, images, brand assets, credentials, and reference materials — by agreed deadlines.
  • Respond to questions and review requests within a reasonable timeframe (typically 5 business days).
  • Designate a single point of contact for approvals to avoid conflicting feedback.
  • Provide accurate and complete information relevant to the project scope.

Delays caused by late content or slow approvals may shift the project timeline. If a project is paused for more than 30 days due to client inaction, Mott Design may invoice for work completed to date and treat the remainder as a new engagement.


Revisions and scope changes

Each project proposal specifies how many rounds of revisions are included. Revisions are changes within the agreed scope — they are not the same as new requests. Requests that expand or alter the original scope will be quoted as additional work before being carried out.


Intellectual property

Upon receipt of full payment for a project, all rights to the final deliverables — including design files and code — transfer to the client. The client owns what they paid for.

Mott Design retains the right to display the work in a portfolio, on this website, and in promotional materials unless the client requests otherwise in writing at the time of project completion. No confidential business information will be included in any portfolio display.

Third-party assets incorporated into a project — such as stock photos, icon sets, or typefaces — remain subject to their original licenses. The client is responsible for maintaining any ongoing license requirements for those assets.


Warranties

Mott Design will perform services with reasonable professional skill and care. Work is tested across modern browsers and devices before delivery, but no warranty is given that deliverables will be error-free or will function without interruption in all environments indefinitely.

No warranty is given regarding search engine rankings, conversion rates, or business outcomes. Those depend on many factors outside the scope of design and development work.

Beyond the standard of reasonable professional care described above, services are provided as-is. Mott Design does not make warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.


Limitation of liability

Mott Design's total liability for any claim arising out of or related to a project is limited to the total fees paid for that project.

Mott Design is not liable for any indirect, incidental, consequential, or special damages — including lost revenue, lost profits, loss of data, or business interruption — even if advised of the possibility of such damages. This limitation applies to all claims, whether in contract, tort, or otherwise.


Confidentiality

Both parties agree to keep confidential any non-public information shared in the course of a project — business plans, technical details, pricing, and client lists. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.


Termination

Either party may terminate a project engagement with 14 days' written notice. If the client terminates, payment is due for all work completed up to the termination date, including any non-refundable deposit. If Mott Design terminates without cause, any prepaid fees for work not yet completed will be refunded.


Governing law

These terms are governed by the laws of the State of California. Any disputes will be resolved in the courts of Monterey County, California, and both parties consent to that jurisdiction.


Changes to these terms

These terms may be updated from time to time. The current version is always posted at mott.design/terms.html. Existing project agreements are not affected by changes made after they are signed.
